Canaccord is not required to sell any specific amount of securities, but will act as our sales agent using commercially reasonable efforts consistent with its normal trading and sales practices, on mutually agreed terms between Canaccord and us. The compensation to Canaccord for sales of common stock sold pursuant to the sales agreement will be an amount equal to 3.0% of the gross proceeds of any shares of common stock sold under the sales agreement. The aggregate market value of our outstanding common stock held by non-affiliates is $35,450,013, based on 21,101,198 shares of outstanding common stock held by non-affiliates as of January 13, 2022 and a price per share of $1.68, the closing price of our common stock on November 15, 2021. Pursuant to General Instruction I.B.6 of Form S-3, in no event will we offer to sell, pursuant to the registration statement of which this prospectus supplement forms a part, securities in a public primary offering with a value exceeding one-third of our public float in any 12-month period so long as the aggregate market value of our outstanding common stock held by non-affiliates remains below $75 million. Our Company

Overview.

Plus Therapeutics, Inc. is a U.S. pharmaceutical company developing innovative, targeted radiotherapeutics for adults and children worldwide with rare and difficult-to-treat cancers. Leveraging novel radioactive drug formulations, our therapeutic candidates are designed to deliver a single, safe and effective dose of radiation to the tumor(s) of interest. More specifically, we have developed innovative approaches to encapsulating the radiation particle, Rhenium, with nanoliposomes and microspheres and administering it in elevated doses that are potentially retained for long enough to effectively eliminate tumor tissue. Combining targeted formulations with local administration techniques, we can inject or infuse a single dose that potentially irradiates a tumor until safely cleared by the body. Our precise approach has the potential to save healthy cells and add more precious moments to each patient’s life.

Traditional approaches to radiation therapy for cancer have many disadvantages including continuous treatment for 4-6 weeks which is difficult for patients, radiation that passes through and damages healthy cells and tissue, and limits to the amount of radiation that can be delivered. Plus Therapeutics has built a radiotherapeutic platform with the potential to overcome these challenges by directing higher, more powerful radiation doses at the tumor—and only the tumor—in a single treatment. By minimizing radiation exposure to healthy tissues while simultaneously maximizing efficacy, we hope to reduce the toxicity of radiation for patients, improving their quality of life and giving them more time to enjoy it. This radiotherapeutic platform, combined with advances in surgery, nuclear medicine, interventional radiology, and radiation oncology, affords us the opportunity to treat multiple types of cancer.

Our most advanced radiotherapeutic candidate, Rhenium-186 NanoLiposome (186RNL) is designed to target central nervous system (CNS) cancers including recurrent glioblastoma, leptomeningeal metastases, and pediatric brain cancers. Our recently acquired radiotherapeutic candidate, Rhenium-188 NanoLiposome Biodegradable Alginate Microsphere (188RNL-BAM) is designed to treat primary and secondary liver cancers.

Our headquarters and manufacturing facility are in Texas, in close proximity to world-class cancer institutions and researchers. Pipeline.

Our most advanced investigational drug, 186RNL, is a patented radiotherapy potentially useful for patients with central nervous system (CNS) and other cancers. The 186RNL technology was part of a licensed radiotherapeutic portfolio that we acquired from NanoTx, Corp. (“NanoTx”) on May 7, 2020. The licensed radiotherapeutic has been evaluated in preclinical studies for several cancer targets and we have an active $3.0 million award from U.S. National Institutes of Health/National Cancer Institute, which will provide financial support for the continued clinical development of 186RNL for recurrent glioblastoma through the completion of a Phase 2 clinical trial and enrollment of up to 55 patients.

We are currently conducting the ReSPECT-GBM and ReSPECT-LM clinical trials for recurrent glioblastoma (GBM) and leptomeningeal metastases (LM), respectively, and anticipate beginning the ReSPECT-PBC clinical trial for pediatric brain cancer (PBC) in 2022:

ReSPECT-GBM Clinical Trial for Recurrent Glioblastoma

186RNL is a novel injectable radiotherapy designed to deliver targeted high dose radiation directly into glioblastoma tumors in a safe, effective, and convenient manner to optimize patient outcomes. 186RNL, which is composed of radionuclide Rhenium-186 and a nanoliposomal carrier, is infused directly into the tumor via precision brain mapping and convection enhanced delivery (CED). The 186RNL radiation dose delivered to patients may be up to 10-15 times greater than what is possible with external beam radiation therapy (EBRT). Some additional potential benefits of 186RNL compared to EBRT include:

 

   

186RNL can be visualized in real-time during administration, possibly giving doctors better control of radiation dosing and distribution.

 

   

Potentially more effectively treats the bulk tumor and microscopic disease in surrounding healthy tissue.

 

   

Using a small catheter, 186RNL is infused directly into the targeted tumor, which may reduce radiation exposure to healthy cells. By contrast, EBRT is less targeted and selective.

 

   

186RNL is given during a single 3-4 day in-patient hospital visit, while EBRT requires out-patient visits 5 days a week for approximately 4-6 weeks.

186RNL is currently being evaluated for the treatment of recurrent glioblastoma in the Phase 1/2a multi-center ReSPECT-GBM dose-finding dose escalation clinical trial (ClinicalTrials.gov NCT01906385). Additionally, this ReSPECT-GBM trial is evaluating the preliminary efficacy, safety, tolerability, and distribution of 186RNL for the treatment of recurrent glioblastoma typically encountered in routine clinical practice. Importantly, 186RNL has not demonstrated any dose limiting toxicity or limits nor any significant safety signals and reported and observed adverse events have been minor, expected and without patient impact. Early and robust efficacy observations have been reported in patients where Cohort advancement has provided increased administered dosing and more extensive tumor coverage per protocol design. Current results show multiple patients surviving greater than 30 months, compared to a median survival of approximately 5-9 months with the current standard of care. The seventh dose escalation cohort of this trial has been completed which allows us to advance to a pivotal registration trial. A pivotal registration trial is currently being planned and will potentially utilize real world data and synthetic control arm methodology.

Recently, our ReSPECT-GBM trial data safety and monitoring board recommended that we proceed to an eighth dosing cohort which provides for a 40% increase in both drug volume and radiation dose with two of three patients in this Cohort enrolled. Thus far, treatment emergent serious adverse events have not been observed. A key explanation for this very favorable benefit to risk/clinical benefit profile is due to directly infusing the 186RNL drug into the tumor by CED catheters, bypassing the blood-brain barrier and normal brain and external tissues that significantly spares these tissues from radiation exposure and potential toxicity when radiopharmaceuticals are administered systemically or when EBRT must pass through normal tissue on the way to, and exiting from, the tumor area of interest. Despite the side effect of EBRT, radiation delivery has shown definitive and unequivocal benefit in many malignancies including glioblastoma. In addition, beta decay energy delivery by the appropriate radioisotope (Iodine-131 in thyroid being an excellent and first of many examples of efficacious radiopharmaceutical therapy) and with the recent Phase 1/2a 186RNL results in our ReSPECT-GBM trial, there is very compelling preliminary evidence and potential for glioblastoma and other malignancies. The preliminary data confirms that radiation, in the form of high energy beta decay electrons, can be effective against glioblastoma because of the CED directed local nanoliposome Re-186 delivery directly to the tumor. comparison, current EBRT protocols for recurrent glioblastoma typically recommend a total maximum dose of about 35 Gy—a value determined as an acceptable, albeit not optimal, balance between toxicity/tolerability and efficacy. In contrast, thus far, we have been able to deliver up to 740 Gy of absorbed radiation to tumor issue without significant or dose limiting toxicities.

Glioblastoma is the most common, complex, and aggressive primary brain cancer in adults. Annually in the U.S., there are 12,900 glioblastoma (GBM) cases diagnosed and approximately 10,000 patients succumb to the disease. The average life expectancy with glioblastoma is less than 24 months, with a one-year survival rate of 40.8% and a five-year survival rate of only 6.8%. GBM can cause headaches, seizures, vision changes and other neurological complications. Despite the best available medical treatments to eliminate the initial brain tumor, some microscopic disease frequently remains, with tumor regrowth within months. In fact, approximately 90% of patients experience tumor recurrence. This tumor type is incredibly difficult to remove completely, and often is resistant or quickly develops resistance to most available therapies. The treatment of GBM remains a significant challenge and it has been nearly a decade since the FDA approved a new therapy for this disease. There is no clear standard of care for recurrent GBM and even the few currently approved treatments, in aggregate, provide only marginal survival benefit. Current approved therapies are associated with significant side effects, which limit dosing and prolonged use.

In September 2020, the U.S. Food and Drug Administration (“FDA”) granted both Orphan Drug designation and Fast Track designations to 186RNL for the treatment of patients with glioblastoma.

ReSPECT-LM Clinical Trial for Leptomeningeal Metastases

The ReSPECT-LM Phase 1 clinical trial (ClinicalTrials.gov NCT05034497) builds upon preclinical studies in which tolerance to doses of 186RNL as high as 1,075 Gy was shown in animal models with LM with no observed significant toxicity. Furthermore, treatment led to marked reduction in tumor burden in both C6 and MDA-231 LM models.

The Company plans to dose the first patient in the ReSPECT-LM Phase 1 clinical trial in January 2022. In November 2021, the FDA granted a Fast Track designation for 186RNL for the treatment of leptomeningeal metastases. In October 2021, the FDA announced clearance of our Investigational New Drug (IND) application for 186RNL for the treatment of LM. In August 2021, we presented data from a preclinical study evaluating 186RNL in the treatment of LM at the Third Annual Conference on Brain Metastases hosted by the Society for Neuro-Oncology.

The ReSPECT-LM multi-center, sequential cohort, open-label, dose escalation study is evaluating the safety, tolerability, and distribution of 186RNL via intrathecal infusion to the ventricle of patients with LM after standard surgical, radiation, and/or chemotherapy treatment. The primary endpoint of the study is the incidence and severity of adverse events and dose limiting toxicities.

LM is a rare complication of cancer in which the disease spreads to the membranes (meninges) surrounding the brain and spinal cord. The incidence of LM is growing and occurs in approximately 5% of people with late-stage cancer, or 110,000 people in the U.S. each year. It is usually terminal with an average 1-year survival of just 7%. LM occurs with cancers that are most likely to spread to the central nervous system. The most common cancers to include the leptomeninges are breast cancer, lung cancer, and melanomas.

ReSPECT-PBC Clinical Trial for Pediatric Brain Cancer

Based on the preclinical and clinical work completed to date in adult recurrent glioblastoma, 186RNL is thought to offer potential clinical benefits for PBC, such as high-grade glioma and ependymoma, the second most common type of cancer in children. All pediatric brain cancers are rare.

In August 2021, we announced plans for treating pediatric brain cancer at the 2021 American Association of Neurological Surgeons (AANS) Annual Scientific Meeting. In July 2021, we reported that we had received FDA feedback pertaining to a pre-IND meeting briefing package in which the FDA stated that we are not required to perform any additional preclinical or toxicology studies. In June 2021, we announced a poster presentation at the 6th Biennial Pediatric Neuro-Oncology Research Conference.

We intend to submit an IND to the FDA for 186RNL for the treatment of PBC (high-grade glioma and ependymoma) and initiate the ReSPECT-PBC Phase 1 clinical trial in 2022.

High-grade glioma (HGG) is a rare, fast-growing CNS tumor that forms in glial cells of the brain and spinal cord. It can be found almost anywhere within the CNS, but is most commonly within the supratentorium in children ages 15-19. HGG tumors in children act differently from those in adults, causing headaches, seizures, and difficulty achieving developmental milestones depending on the tumor location. Approximately 360-400 children are diagnosed with HGG annually in North America while the 5-year survival rate is only 20%.

Ependymoma is a rare, slow- or fast-growing (depending on the grade) primary CNS tumor that forms in ependymal cells in the brain and spinal cord—and may spread throughout the CNS, though infrequently. All ependymomas can recur, but patients are often tumor-free for years before testing shows tumor regrowth, either at the initial tumor site or elsewhere within the CNS. Symptoms depend on tumor location and size, usually including irritability, sleeplessness, vomiting, nausea, back pain, arm/leg weakness, and headaches.

Approximately 250 children are diagnosed with ependymoma annually in the U.S. while 71% of children with Grade II and 57% with Grade III survive 5 years from diagnosis.

Preclinical Development

Preclinical study data describing the use of 186RNL for several cancer targets have been published in peer-reviewed journals. Besides glioblastoma, leptomeningeal metastases, and pediatric brain cancer, 186RNL has been reported to have potential applications for head and neck cancer, ovarian cancer, and breast cancer. Further, Rhenium-186 labeled nanoliposomal doxorubicin have been described in the literature.

In January 2022, we announced that we had licensed Biodegradable Alginate Microsphere (BAM) patents and technology from The University of Texas Health Science Center at San Antonio (“UT Health San Antonio”) to expand our tumor targeting capabilities and precision radiotherapeutics pipeline. Different malignancies, in different locations, often present with unique and demanding requirements for intervention and treatment. Today we are evaluating and developing radioactive nanoparticles (186RNL) in clinical trials for the treatment of central nervous system tumors. 186RNL is an optimal approach with CED for GBM and administered via Ommaya reservoir to LM—most often from lung, breast, and melanoma cancers. By combining Rhenium-188 NanoLiposome with the BAM technology to create a novel radioembolization therapy utilizing the Rhenium-188 isotope, 188RNL-BAM, we will be able to pursue new and relevant routes of administration (intra-arterial), mechanisms of delivery/action (embolization/local delivery of radiation), and rare cancers (hepatocellular cancer, hepatic metastases, pancreatic cancer, etc.).

Radioembolization is one of several nonsurgical treatment options for patients with liver cancer and has provided excellent patient management options for decades. An example is Yttrium-90 (Y-90) Glass/Resin Microspheres, one of the most used radioembolization therapies for liver cancer patients. Although providing important options for patients with the benefits of minimally invasive delivery and patient tolerability, 188RNL-BAM may offer a number of important potential advantages.

Preclinical data from an ex vivo embolization experiment in which Tc-BAM was intra-arterially delivered to a bovine kidney perfusion model was presented at the recent 2021 Society of Interventional

Radiology (SIR) Annual Scientific Meeting. The conclusion from the study was that the novel method for radiolabeling BAM demonstrated success regarding radioactivity retention and embolization capabilities.

188RNL-BAM is a preclinical asset that we believe will be straightforward to translate to the clinic. In 2022, we intend to perform a 188RNL-BAM technology transfer from UT Health San Antonio, fabricate drug product, and complete any additional animal studies to support a future FDA IND submission.

Liver cancer is the 6th most common and 3rd deadliest cancer worldwide. It is a rare disease with increasing U.S. annual incidence (42,000) and deaths (30,000). We anticipate that 188RNL-BAM will be eligible for an orphan drug designation for the treatment of liver cancer from multiple regulatory agencies around the world, including the FDA.

Conversion. Anti-Takeover Effects of Delaware Law and Our Certificate of Incorporation and Bylaws

Certain provisions of Delaware law, our amended and restated certificate of incorporation, as amended and our amended and restated bylaws could have the effect of delaying, deferring or discouraging another party from

Delaware anti-takeover statute. We are subject to the provisions of Section 203 of the General Corporation Law of the State of Delaware (the “DGCL”) regulating corporate takeovers. at or subsequent to the date of the transaction, the business combination is approved by the board of directors of the corporation and authorized at an annual or special meeting of stockholders, and not by written consent, by the affirmative vote of at least 66-2/3% of the outstanding voting stock which is not owned by the interested stockholder.

Generally, a “business combination” includes a merger, asset or stock sale, or other transaction resulting in a financial benefit to the “interested stockholder” and an “interested stockholder” is a person who, together with
